Federal Law "On Limited Liability Companies" N 14-ФЗ

The Federal Law “On Limited Liability Companies” establishes the legal status, rights, obligations, and the procedure for the creation and liquidation of limited liability companies in accordance with the Civil Code of the Russian Federation. The federal law defines the civil rights and obligations of a limited liability company for carrying out all types of activities that do not contradict the goals of the activity and are determined by the charter of the company, as well as are established by a license for certain types of activities.

The Federal Law “On Limited Liability Companies” establishes the procedure for opening subsidiaries and affiliates, branches and representative offices, and also determines the form of their relations with the parent limited liability company. Federal law determines the provisions of the charter and the provisions of the memorandum of association, the size of the authorized capital, which are approved at the general meeting of participants in a limited liability company.

Federal law provides for the reorganization of limited liability companies in a closed joint-stock company. The Federal Law "On Limited Liability Companies" provides for the obligation of the participants of the company to pay their shares in the authorized capital in the amount and within the time stipulated by the agreement on the establishment of the company, as well as the obligation not to disclose information about the activities of the company.
